L.B. Foster Company has acquired the operating assets of Dulworth Enterprises Inc., a Texas-based manufacturer of residential wastewater precast products and Aeris aerobic treatment systems.

The acquisition was completed Oct. 28, 2026, through L.B. Foster subsidiary CXT Incorporated for approximately $52.2 million in cash, subject to customary indemnification holdbacks. Dulworth, headquartered in Rice, Texas, is expected to generate approximately $18 million in annual revenue and contribute an estimated $6.5 million to $7.5 million in EBITDA, including synergies, following integration.

L.B. Foster said the acquisition will expand its manufacturing capabilities and residential wastewater product portfolio while increasing its presence in precast concrete markets. Integration activities are expected to take 12 to 18 months.

The company said the acquisition builds on an existing relationship with Dulworth and its experience using the company’s wastewater treatment technologies.
