Knowledge Networks Announces Intent to Acquire Earth Springs Water

Knowledge Networks, Inc. announced that it signed a Letter of Intent to acquire Earth Springs Water Co. (Earth Springs). Earth Springs, located in Ambridge, Pa., is a state of the art reverse osmosis bottling facility with production capacity of over 27 million gallons of purified water per year. The 27,000 square foot facility opened in March 2001 and first year start up revenues will approach $1 million.

Earth Springs' plant has two fully automated production lines capable of filling 16.9 oz., 20 oz., One liter and One gallon bottles. Both lines can be operated simultaneously with production capacity exceeding 100 gallons per minute.

Earth Springs produces their own plastic gallon bottles with a 400 horsepower blow-molding machine. These bottles are used not only in house, but are sold to other facilities throughout the area. In addition, Earth Springs is one of the few facilities in the U.S. with capacity to box 1 gallon plastic bottles in convenient 3-packs.

This acquisition is in addition to the transaction between KWNR and Essentia Waters, Inc. (Essentia). It is expected that shortly after the close of both transactions, Essentia Water will be produced in Earth Springs' plant and distributed throughout the Northeast.
